Image Release Consent

 

By responding with the denoted hashtag, you agree that you have read, understood, and agree to this Image Release Consent without limitation or qualification.  This constitutes an agreement between you and Summit Natural Inc. d/b/a HighKey Snacks. Please carefully review and print a copy for your records.

 

“Content” refers to all of the text, usernames or handles, hashtags, photographs, images, illustrations, graphics, sound recordings, video, audio-video clips, and other material that you posted on the internet and/or social media which prompted our reply to you, and may also include your personal details such as your name.

 

By agreeing to allow HighKey Snacks to use your content, you agree to grant HighKey Snacks an express, perpetual, irrevocable, royalty-free, paid-up, worldwide, and non-exclusive license and right to access, store, reproduce, edit, adapt, modify, format, delete, translate, transmit, use, disclose, sublicense, manipulate, prepare derivative works based upon, combine with other works (and all copyrights therein and thereto and all renewals and extensions thereof), publish, publicly perform, publicly display, distribute and communicate any and all Content, including without limitation, the photo and the likeness of any persons embodied therein, in perpetuity without any obligation, permission, attribution, restriction, notification, or compensation to you or any third party. This license is granted to HighKey Snacks with respect to any internal or commercial use of the Content, including, without limitation, the use, distribution, or publication of the Content in or by any website, social media platform or other form of media (e.g., Facebook®, Twitter®, Instagram®, Pinterest®, or YouTube®), whether owned by or licensed to HighKey Snacks, and any subsequent version or modification thereof (collectively, the “Sites”), and is subject to limitation only by HighKey Snack’s removal of such Content from the applicable Site or the third party terms applicable to the user. You further irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of materials regarding the Content that you may have under any applicable law under any legal theory. Finally, you waive any and all claims against Crocs relating to copyright infringement and/or any invasion or misappropriation of the right of privacy or publicity and warrant that you own or are authorized to grant all rights and permissions granted herein.

 

Further, you represent and warrant:

• You are 18 years old or older (or the age of majority in your state of residence if the age of majority is greater than 18);
• You possess all necessary intellectual property rights in and to the comments, ideas, depictions, sound recordings, photographs, moving images and other data, and have the right to grant HighKey Snacks a license to use the Content (including but not limited to the rights of publicity and privacy for any person featured in the Content and the copyright and photographic rights in the Content);
• The Content does not contravene, violate, infringe upon, or misappropriate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights or any other rights of any person;
• The Content does not in any way violate any law, or the applicable social media platform’s terms of use, privacy policy ,or other applicable rules or conditions; and
• You have express permission from any person, living or dead, in the Content to use their likeness, and that all persons described or depicted in the Content (the “Subjects”) (i) are 18 years old or older (or the age of majority in your state of residence if the age of majority is greater than 18), or (ii) the parents or guardians of each Subject, as applicable, gave you express permission to submit the Content.

 

You acknowledge that HighKey Snacks reserves the right, but not the obligation, to refuse to post or remove any Content in our sole and absolute discretion without notice to you.

 

You hereby release, waive, forever discharge, and hold harmless HighKey Snacks from any and all liability, loss, harm, damage, cost, expense, counsel fees, court costs, and claims, including but not limited to third party claims, except for any claims of gross negligence or willful misconduct of HighKey Snacks, based on publicity rights, privacy rights, defamation, or intellectual property related to the Content and HighKey Snack’s use thereof or the rights granted hereunder. You agree that the all applicable laws of the United States and/or the State of Florida will govern the submission of your Content to HighKey Snacks.

 

IF YOU DO NOT OWN OR HAVE AUTHORIZATION TO GRANT THE RIGHTS AND PERMISSIONS DESCRIBED HEREIN AND/OR DO NOT WANT TO GRANT HIGHKEY SNACKS SUCH RIGHTS, DO NOT ACCEPT THESE TERMS.
